Welcome to MERIT (Metric-Based Entertainment Rating & Insight Tracker). These Terms of Service (“Terms”) govern your access to and use of the MERIT website, platform, and related services (“Services”). By accessing or using MERIT, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding agreement to use MERIT.
By creating an account, you represent that the information you provide is accurate, complete, and current.

MERIT provides a platform designed to facilitate comedy booking by connecting participating comedy clubs, showrunners, and comedians.
MERIT is intended to streamline booking communications, scheduling, talent management, and related administrative functions.
MERIT is not a talent agency, employer, or guarantor of bookings or performances.
4. User Responsibilities
Users agree to:
- Provide accurate and truthful information.
- Maintain professional conduct while using the platform.
- Respect other users.
- Use the platform only for lawful purposes.
- Keep account credentials secure.
Users may not:
- Submit false or misleading information.
- Impersonate another individual or organization.
- Attempt to gain unauthorized access to the platform.
- Upload malicious software or interfere with platform operations.
- Use MERIT for illegal or fraudulent purposes.
5. Booking Communications
MERIT facilitates communication between participating clubs and comedians regarding booking opportunities.
Booking decisions remain solely between the participating parties.
MERIT does not guarantee that any user will receive booking offers, performance opportunities, or compensation.
6. SMS Communications
If you provide your mobile phone number and consent to receive text messages, MERIT may send transactional SMS communications related to your account and booking activity.
These messages may include:
- Booking offers
- Booking confirmations
- Scheduling updates
- Booking reminders
- Booking cancellations
- Account verification
- Other account-related notifications
Message frequency varies. Standard message and data rates may apply.
Users may opt out of SMS communications by following the opt-out instructions provided in applicable messages.
7. Intellectual Property
All content, trademarks, logos, software, graphics, text, and other materials associated with MERIT are the property of MERIT or its licensors and are protected by applicable intellectual property laws.
Users may not copy, reproduce, distribute, or modify MERIT content without prior written permission.
8. User Content
Users retain ownership of the content they submit, including biographies, photos, videos, and promotional materials.
By submitting content to MERIT, users grant MERIT a non-exclusive, worldwide, royalty-free license to display, store, and use such content as necessary to operate the platform and facilitate booking services.
Users represent that they have the legal right to submit any content they upload.
9. Account Suspension or Termination
MERIT reserves the right to suspend or terminate accounts that violate these Terms or engage in conduct that could harm the platform or other users.
Users may discontinue use of the platform at any time.
10. Disclaimer of Warranties
MERIT is provided on an “as is” and “as available” basis.
We make no warranties, express or implied, regarding the availability, reliability, accuracy, or uninterrupted operation of the platform.
MERIT does not guarantee booking opportunities, performance success, or financial results.
11. Limitation of Liability
To the fullest extent permitted by law, MERIT, its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to the use of the platform.
MERIT’s total liability for any claim arising from the use of the platform shall not exceed the amount paid by the user to MERIT, if any, during the twelve (12) months preceding the claim.
12. Changes to the Services
MERIT may modify, suspend, or discontinue any portion of the platform at any time without prior notice.
We may also update these Terms from time to time. Continued use of the platform after revised Terms become effective constitutes acceptance of those changes.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.
